Terms of Service

These Terms of Service ("Terms") govern your access to and use of SIPmind, an AI voice agent platform ("Service"), provided by Techdab ("we", "us", or "our"). By creating an account, purchasing a subscription, or using our Service in any way, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. Service Description
SIPmind is a cloud-based AI voice agent platform that enables businesses to automate inbound phone calls and messaging through:
- AI-powered voice conversations via SIP telephony (inbound only)
- Hosted phone numbers provisioned through our telephony partners (Twilio, Telnyx)
- Text-based messaging via WhatsApp, Telegram, and web chat
- Knowledge base management (RAG) for contextual AI responses
- Dashboard for configuration, analytics, call history, and integrations
The Service requires integration with OpenAI's API. You must provide your own OpenAI API key and comply with OpenAI's Terms of Use and Usage Policies.
2. What This Service Is NOT
This Service does not constitute and should not be relied upon as:
- A telecommunications carrier (we are a software platform that facilitates connections through third-party telephony providers)
- Legal, medical, financial, or professional advice of any kind
- Emergency services or 911/112 replacement
- An outbound calling or dialing platform (hosted phone numbers are inbound-only; see Section 6)
- Guaranteed uptime or call completion
You may use your own phone numbers and SIP infrastructure, or purchase hosted phone numbers through the dashboard. In either case, you are solely responsible for compliance with applicable telecommunications regulations in your jurisdiction.
Bring Your Own Infrastructure (BYO): If you connect your own PBX or SIP trunk, you may use the Service to process both inbound and outbound call audio. SIPmind acts solely as an AI processing engine — we do not originate, route, or terminate calls. You are fully responsible for call origination, telephony compliance (TCPA, FCC, Do Not Call), caller consent, and all regulatory obligations related to your calls.
3. Subscription and Billing
The Service is offered on a monthly subscription basis. Current plans include:
- Light: Text-only channels (Telegram, WhatsApp, web)
- Starter: Voice + text, hosted phone numbers, up to 3 concurrent lines
- Business: Voice + text, hosted phone numbers, up to 10 concurrent lines, priority support
- Enterprise: Unlimited lines, custom deployment, SLA, dedicated support
Hosted phone numbers are billed separately through our telephony partners (approximately $1.15/month per number plus per-minute usage). These charges are in addition to your SIPmind subscription fee.
Payment terms are agreed upon individually. Subscriptions renew upon mutual agreement. See our Refund Policy for cancellation terms.
4. Account Responsibilities
By using this Service, you agree to:
- Provide accurate and truthful account information, including your real business name and contact details
- Maintain a valid OpenAI API key with sufficient credits for your usage
- Keep your API keys, dashboard credentials, and account information secure
- Notify us immediately at hello@sipmind.net if you suspect unauthorized access to your account
- Be solely responsible for all activity that occurs under your account
- Not share, resell, or sublicense your account access without our written consent
5. Acceptable Use Policy
This section defines what you may and may not do with the Service. Violations may result in immediate suspension or termination of your account without refund. This policy applies to all usage of the Service, including inbound calls, messaging, and any content processed through the platform.
5.1. Prohibited Uses
You must NOT use the Service (or any phone numbers provisioned through it) to:
- Fraud or impersonation: Impersonate any person, business, government agency, or organization. This includes pretending to be a bank, law enforcement, tax authority (IRS, etc.), healthcare provider, or any entity the AI agent does not actually represent.
- Phishing or social engineering: Attempt to extract personal information, passwords, financial details, social security numbers, or other sensitive data from callers through deceptive means.
- Spam or unsolicited communications: Send bulk messages, robocalls, or unsolicited communications of any kind. Even though the Service is designed for inbound use, you must not configure it to encourage or facilitate spam.
- Harassment or threats: Threaten, harass, abuse, stalk, or intimidate any person.
- Illegal activities: Facilitate any activity that violates local, state, national, or international law, including drug trafficking, money laundering, gambling (where prohibited), or human trafficking.
- Debt collection abuse: Use the Service for debt collection in violation of the Fair Debt Collection Practices Act (FDCPA) or equivalent local laws.
- Deceptive practices: Create AI agents that provide knowingly false information, fake reviews, misleading medical/legal/financial advice, or content designed to deceive callers.
- Adult or harmful content: Use the Service to distribute sexually explicit, violent, or otherwise harmful content.
- Service abuse: Attempt to circumvent rate limits, exploit vulnerabilities, reverse-engineer the platform, or interfere with other tenants' service.
- Sanctions evasion: Use the Service in violation of U.S. export controls or economic sanctions (OFAC).
5.2. Required Disclosures
When using the Service for voice calls, you MUST:
- Clearly disclose to callers that they are speaking with an AI agent, not a human. This disclosure should occur at the beginning of the conversation (e.g., in the welcome message or system prompt).
- Provide callers with the option to speak with a human representative or end the call at any time.
- Comply with all applicable AI disclosure laws in your jurisdiction, including FTC guidelines on AI-generated content.
5.3. Content Responsibility
You are solely responsible for:
- The content of your system prompts, knowledge base, and any instructions provided to the AI agent
- Ensuring your AI agent's responses are accurate, lawful, and appropriate for your use case
- Obtaining all necessary consents from callers for call recording and AI processing
- Compliance with industry-specific regulations (HIPAA for healthcare, PCI DSS for payment processing, etc.)
5.4. Monitoring and Enforcement
We reserve the right to monitor system prompts, call patterns, and usage metrics to detect potential violations of this policy. We may, at our sole discretion, review your account configuration if we have reason to believe a violation has occurred. We are not obligated to monitor, but we may do so to protect the integrity of the platform and other users.
6. Hosted Phone Numbers
If you purchase phone numbers through the SIPmind dashboard, the following additional terms apply:
- Ownership: Phone numbers are provisioned through our telephony partners (Twilio, Telnyx) and remain the property of the carrier. You receive a license to use the number for the duration of your paid subscription.
- Inbound only: Hosted phone numbers are configured for inbound calls only. Outbound calling through hosted numbers is not supported and not permitted. If you require outbound AI calls, you must use your own telephony infrastructure (BYO) and assume full compliance responsibility.
- Number limits: The number of phone numbers you can provision is limited by your subscription plan. We may impose additional limits at our discretion.
- Usage charges: Per-minute charges for calls to your hosted numbers are billed by our telephony partner. These charges are separate from your SIPmind subscription. Current rates are displayed in the dashboard.
- Number release: If your subscription is terminated or suspended, your phone numbers may be released back to the carrier after a 30-day grace period. We are not responsible for loss of phone numbers due to account termination.
- Regulatory compliance: You are responsible for ensuring your use of hosted numbers complies with local telecommunications regulations, including number registration requirements (e.g., STIR/SHAKEN, A2P 10DLC where applicable).
- Abuse prevention: We reserve the right to immediately release or disable any phone number that is used in violation of these Terms or our Acceptable Use Policy, or that generates complaints from carriers, regulators, or the public.
7. AI Disclosure and Telecommunications Compliance
Using AI for voice calls involves specific legal obligations. By using the Service, you acknowledge and agree to the following:
- FCC and FTC compliance (US): If you operate in the United States, you must comply with FCC rules on artificial or prerecorded voice messages and FTC guidelines on AI-generated content. As of February 2024, AI-generated voice calls require prior express consent under the TCPA.
- Caller consent: You must obtain any necessary consents before recording calls or processing caller data. This includes compliance with two-party consent laws in applicable jurisdictions.
- Do Not Call: If you process any outbound communications through messaging channels (WhatsApp, Telegram), you must honor Do Not Call registry obligations and opt-out requests.
- International use: If you operate outside the US, you must comply with your local telecommunications and data protection regulations (e.g., GDPR, local telecom licensing requirements).
We provide the technology platform. You are responsible for your compliance with all applicable laws. We recommend consulting with a legal professional regarding your specific use case.
8. Intellectual Property
Our Property: The SIPmind platform, including software, documentation, APIs, and branding, is our intellectual property. You receive a limited, non-exclusive, non-transferable license to use the Service during your active subscription.
Your Data: You retain ownership of your knowledge base content, system prompts, call recordings, and business data. We do not claim ownership of your content. However, we may use anonymized, aggregated usage data to improve the Service.
9. Data Processing
We process your data as described in our Privacy Policy. Voice data is processed through OpenAI's Realtime API in real time and is not stored by us beyond the call session, unless you enable call recording. You are responsible for obtaining necessary consents from your callers for call recording and AI processing.
10. Suspension and Enforcement
We may take the following actions if we determine, at our sole discretion, that you have violated these Terms:
- Warning: For minor or first-time violations, we may issue a written warning and request remediation within a specified timeframe.
- Suspension: We may immediately suspend your account and disable your hosted phone numbers. During suspension, your data is preserved but the Service is inaccessible.
- Termination: For serious violations (fraud, phishing, impersonation, illegal activity), we may permanently terminate your account without prior warning.
- Reporting: We may report illegal activity to appropriate law enforcement agencies and cooperate with investigations.
Suspended or terminated accounts are not eligible for refunds for the current billing period. If you believe your suspension was in error, contact us at hello@sipmind.net.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- We are not liable for missed calls, dropped connections, AI response errors, or telephony outages
- We are not liable for any actions taken by your AI agent, including incorrect information provided to callers
- We are not liable for any direct, indirect, incidental, special, or consequential damages
- Our total aggregate liability is limited to the subscription fees you paid in the 12 months preceding the claim
12. Indemnification
You agree to indemnify, defend, and hold harmless Techdab, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms or the Acceptable Use Policy
- Your content, system prompts, or knowledge base materials
- Claims by your callers, end users, or third parties
- Your violation of any applicable law or regulation
- Any complaint from a telephony carrier or regulator related to your use of hosted phone numbers
13. Termination
You may cancel your service at any time. Access continues until the end of your current paid period. We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 30 days' notice.
Upon termination, your data will be retained for 30 days to allow export, then permanently deleted. Hosted phone numbers will be released to the carrier after the 30-day grace period.
14. Modifications
We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use after changes constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Service.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Techdab regarding the Service. These Terms supersede all prior agreements, representations, and understandings.
